Contrat Prénuptial International 

Quand plus d’un pays est impliqué

Dans de nombreuses circonstances, un contrat prénuptial comporte des implications internationales. Voici quelques exemples de telles situations : 

  • Le futur marié est d’origine étrangère et la femme est citoyenne thaïlandaise, ou toute autre situation où les futurs époux ne détiennent pas la même nationalité;
  • Les fiancés souhaitent se marier dans un pays différent de celui de leur domicile marital;
  • Les époux (ou l’un d’eux) ont des biens situés dans différents pays. 

Dans ces cas, il est hautement recommandé de recourir aux services d’un avocat chevronné et familier avec les lois de votre pays d’origine. En effet, celui-ci devra prendre en considération les lois de toutes les juridictions concernées afin de rédiger un contrat prénuptial international dans votre meilleur intérêt. 

International Prenuptial Agreement

La précarité des contrats internationaux 

La rédaction d’un contrat prénuptial international exécutoire dans tous les pays impliqués est excessivement complexe en raison des différences que l’on retrouve dans leurs lois respectives. Nous sommes en présence d’un « conflit de lois » lorsque les lois de deux pays sont incompatibles. Dans de tels cas, un contrat rédigé par un avocat inexpérimenté pourrait se voir invalidé par un tribunal, ce qui pourrait être dévastateur pour les intérêts respectifs des époux. C’est pourquoi étudier et comprendre les lois de chaque pays est essentiel afin de protéger les intentions initiales des futurs mariés. 

Il n’y a qu’un seul traité international concernant les implications internationales des contrats prénuptiaux: il s’agit de la « Convention de la Haye sur la Loi Applicable aux Régimes Matrimoniaux ». Si celle-ci permet la rédaction de tels contrats, elle n’a été signée et ratifiée que par quelques pays. La Thaïlande n’en fait pas partie : elle a préférée adopter sa propre loi concernant les conflits de lois en matière de régime matrimoniaux.

Quelles sont les règles de votre pays d’origine ?

Allemagne 
L’Allemagne ne reconnaît pas les lois étrangères, nonobstant la présence d’une clause de juridiction dans un contrat prénuptial international. Un tel contrat doit avoir été fait devant notaire. De plus, l’entente ne doit pas désavantager l’une des parties par rapport à l’autre, ce qui constitue une cause de nullité du contrat. 

Australie
Les contrats prénuptiaux sont appelés « Contrat financiers » en Australie. Ils ont été reconnus valides et exécutoires en 2000. Cependant, ils sont sujets à de nombreuses restrictions, notamment la condition selon laquelle chaque époux doit obtenir un avis légal indépendant provenant d’un avocat pratiquant le droit australien. Sans cet avis, le contrat prénuptial international ne liera le tribunal en cas de divorce. 

Canada
Les lois en matières de droit de la famille diffèrent d’une province à l’autre. Il en va de même pour les conditions de validité d’un contrat prénuptial. En Alberta, les parties doivent avoir obtenu un avis légal indépendant, lequel doit prendre la forme d’un certificat annexé au contrat. Au Québec, un contrat prénuptial doit être fait par acte notarié. 

États-Unis
Les contrats prénuptiaux sont valides et exécutoires partout au pays. Par contre, les conditions de validité de ces ententes peuvent différer d’un État à l’autre en fonction de leurs lois respectives. De plus, certains tribunaux refusent d’appliquer les lois étrangères, même si un choix de juridiction a été fait par les parties. 

France
Un contrat prénuptial international rédigé en Thaïlande et conforme au droit thaïlandais sera valide et exécutoire en France si l’un des époux : (1) est un citoyen thaïlandais; (2) vivait en Thaïlande avant le mariage; (3) vivra en Thaïlande après le mariage; ou (4) des biens immobiliers sont situés en Thaïlande. 

Royaume-Uni
Jusqu’à tout récemment, le Royaume-Uni refusait systématiquement de reconnaître la validité des contrats prénuptiaux. Il a fallu attendre jusqu’en 2010 afin de voir la Cour Suprême, dans l’arrêt Radmacher, ouvrir la porte au caractère exécutoire de ce type d’entente. Le Royaume-Uni refuses également d’appliquer le choix de juridiction fait par les parties.

The US-Thai Treaty of Amity: Implications for Thai Business Incorporation


Many readers will likely be aware of the fact that pursuant to the provisions of the Thai Foreign Business Act many business endeavors conducted by foreigners in Thailand are subject to strict limitation. It may be possible to obtain a Foreign Business License in order to overcome such statutory limitations, but such licenses are issued pursuant to the discretion of relevant Thai authorities.

Fortunately for American Citizens and corporations wishing to do business in Thailand there is another strategy for conducting business legally notwithstanding the provisions of the Foreign Business Act: The Treaty of Amity and Economic Relations between the United States and Thailand. Promulgated in May 1966 the provisions of the Treaty stipulate that American Citizens (or incorporated entities) may incorporate and/or maintain a majority share in a company in Thailand. The basis for this privilege lies in the provisions of the Treaty which allow those companies incorporated in Thailand with majority American shareholders to be granted “National Treatment”. This provision allows these entities to be treated, from a legal perspective, as though they were Thai companies.

In addition to the routine formalities which apply to all companies formed in Thailand, there are a number of formalities which must be maintained with respect to Amity Treaty Companies. First, it should be noted that an Amity Treaty Company may only have Thai or American shareholders and directors. Therefore, to maintain certification such an entity may not allow a 3rd country foreign national to purchase shares in the company nor allow such an individual or entity to become a director of such an enterprise. Should such a thing come to pass, even after Treaty certification, it could result in the company being de-certified and therefore lead to civil or even criminal liability for failure to comport with the Foreign Business Act.

Furthermore, it should be noted that not all activity will be sanctioned by Thai authorities notwithstanding the Treaty provisions. This is due to the fact that the terms of Treaty itself specifically reserve several types of activity specifically to Thai companies. The restricted activities under the Treaty are as follows:

1.     Land Ownership

2.     Trading agricultural products inside of Thailand

3.     Transportation

4.     Depository Banking (and functions associated therewith)

5.     Fiduciary functions

6.     Development of Land and/or natural resources in Thailand

7.     Communications

The above list rather resembles List 1 of the restricted corporate objectives codified in the terms of the Thai Foreign Business Act. Hence, although the Treaty does have certain restrictions inherent in its terms, such restrictions will, in the vast majority of cases, apply under any other circumstances. Meanwhile, the provisions of the Treaty allow American owned companies which undertake business activities which do not fall into the aforementioned categories to conduct their business without the encumbrances of the Foreign Business Act. Therefore, the US-Thai Treaty of Amity represents arguably the best legal framework under which American individuals and entities can do business in Thailand.

In Thailand, if your drone is more than 2kg or has a camera, you must register your drone. And to register it, you will need to pay insurance for it.
